Terms of service.

 

Please read these Terms of Service ("Terms", "Terms of Service") carefully.  The Ride Community provides an online fitness community and related products, services, content and features through The Ride Community website and through mobile, desktop, or device applications and The Ride Community-controlled social media pages (including on Facebook, Instagram, Spotify and Twitter) (together, or individually, the “Service”).  By registering as a Member or by visiting, browsing, or using The Ride Community Service in any way, you (as a “user” or “Member”) accept and agree to be bound by these Terms of Service before using the www.ride-co.com website and accessing the Service operated by The Ride Community (“The Ride Community”, “The RideCo”, “RideCo”, “company”, “us”, “we”, or “our”).  


Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. If you disagree with any part of the Terms then you do not have permission to access the Service.


RideCo may, at any time and in its sole discretion, amend, modify, delete or add (collectively “Amendments”) to these Terms of Service.  Your use of the Service after any such Amendments have been made or posted constitutes your agreement with and acceptance of such Amendments. Each time you access the Service, you reaffirm your acceptance of the Site Terms and any Amendments thereto. You are responsible for regularly reviewing the Site Terms.


1. Who May Use The Ride Community Service

Age Requirement.  You must be at least 18 years old, or the age of legal majority in your jurisdiction of residence, to register with and use our Service.  The RideCo Service is offered only for your personal, non-commercial use, and not for the use or benefit of any third party.  Please note that instructors may use explicit language and music may contain explicit lyrics.

2.  The Ride Community May Modify or Suspend the Service

We reserve the right at any time to modify or suspend, temporarily or permanently, the Website or provided Services or any portion thereof without notice to you. You agree that we shall not be liable to you or any third party for any such modification, suspension or discontinuance of the Website or the Service, whether as a result of its own actions or through the actions of any third party service that we use to deliver the Service.

3.  Registration Requirements

If you wish to become a Member and enjoy full access to our Service, you must read this Agreement and indicate your acceptance during the registration process. You must provide complete and accurate registration information to us, complete the registration process, and notify us if any of your information changes.  If you fail to keep your account information up to date, we may have to suspend or terminate your membership. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) at any time. Content on the Service is provided to you “AS IS” for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of The RideCo. We reserve all rights not expressly granted in and to the Service and the Content.

4.  Membership Structure and Fees

We will provide information on the then-current Membership (“Membership”) and drop-in Services on The RideCo Site and/or by other means.  Features and prices are subject to change without notice.  If you cancel your Membership, your Membership access will be terminated immediately, and your Membership will not be renewed after that period expires.  However, you will not be eligible for a prorated refund of any portion of the Membership fee paid for the then-current Membership period. 

5.  Billing Cycles and Auto-Renewal 

All Memberships recur on a prepaid monthly basis until it is canceled in accordance with these Terms. Billing occurs at the beginning of the Membership cycle and provides access for one month thereafter, unless the Membership is cancelled mid-cycle, in which case the terms of Section 4 hereinabove shall apply. By purchasing a Membership, you acknowledge that your Membership has recurring payment features and you accept responsibility for all recurring payment obligations prior to cancellation of your Membership by you or The RideCo. At the conclusion of a prepaid period, unless you cancel prior to renewal, and to the extent permitted by applicable law, your Membership will automatically continue on a month-to-month basis at the then-existing price for your Membership.  You must promptly notify us if your payment method is cancelled (e.g. for loss or theft).  To change or terminate your Membership, please contact us at theridecommunity@gmail.com.

6.  Billing Authorization

You may be asked to provide a payment method (such as a credit, charge or debit card number) that we accept in order to activate your Membership, along with other payment information. You represent and warrant that you have the legal right to use all payment method(s) that you provide to us. Your authorizations in this section also apply to our payment processors and any other companies who act as billing agents for us. You hereby authorize us to charge your specified payment method on a monthly basis, in advance, for your Membership(s) and/or to place a hold on your payment method with respect to any unpaid charges for your Membership(s). You authorize the issuer of your selected payment method to pay any amounts described herein without requiring a signed receipt, and you agree that these Terms shall be accepted as authorization to the issuer of the payment method to pay any amounts described herein, without requiring a signed receipt from you. You authorize us to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your payment method until such amounts are paid in full. You agree to provide updated payment information upon request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither The RideCo, nor any RideCo agent, will have any liability whatsoever for any insufficient funds or other charges incurred by you as a result of attempts to charge, and/or place holds on, your specified payment method as contemplated by these Terms. If you provide a debit card number instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number.

a.  Third-Party Payment Processors

You agree to pay us, through our payment processors or financing partners (as applicable), all charges at the prices then in effect for any purchase in accordance with the applicable payment terms presented to you at the time of purchase. You agree to make payment using the payment method you provide when you set up your account. We reserve the right to correct, or to instruct our payment processors or financing partners to correct, any errors or mistakes, even if payment has already been requested or received.

7.  User Content, General Prohibitions and The Ride Community’s Enforcement Rights

The Service may offer you the opportunity to post and/or submit information, materials, images, graphics, video, audio, software, photographs, articles, text and/or other content (“User Content”) on or to the Service. By posting or submitting any User Content on or to the Service (regardless of the form or medium of the post or submission), you are giving The RideCo, and its affiliates, agents and third party contractors the unrestricted, royalty-free, perpetual and irrevocable right to reproduce, adapt, display, publish, distribute or modify such User Content throughout the world in any and all media and formats, whether now or hereafter developed, for any purpose whatsoever, without payment, credit or acknowledgement of source.

With respect to any User Content submitted by you to the Service, you hereby represent and warrant to us that you are legally capable to enter into contracts, that you are authorized to post or submit the User Content and that the User Content and your submission of the User Content does not violate or infringe the copyright, trademark, patent, publicity, privacy or other proprietary right of any third party. You further agree that you will not: (I) submit or publish falsehoods or misrepresentations that could damage The RideCo or any third party; (II) submit User Content that is unlawful, obscene, profane, defamatory, libelous, threatening, pornographic, hateful, abusive, harassing, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iii) submit or publish documents or information that is the confidential or proprietary documents or information of any third party; or (iv) post advertisements or solicitations of business. We reserve the right to remove, delete or refrain from publishing any User Content submitted by you for any reason without prior notice to you.

You agree that you will be solely responsible and liable for, and will indemnify The RideCo and its officers, directors, employees and agents (“Released Parties”) from and against any losses, expenses, liabilities, claims, costs, and damages (“Claims”) arising from your submission of User Content, including, but not limited to, any Claims arising out of breach of the Site Terms or any Claims for infringement of copyright, trademark, patent or other proprietary rights.

You agree not to do any of the following:

  1. Post, upload, publish, submit or transmit to The RideCo’s website, social media or any other The RideCo Forum any User Content or engage in any activity that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person, animal, or entity; (vii) exploits minors or (viii) promotes illegal or harmful activities or substances;

  2. Use of the Service or Content, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms or permitted expressly in writing by us.

Although we are not obligated to monitor access to or use of the Service or Content or to review or edit any User Content, we have the right to do so for the purpose of operating the Service, to ensure compliance with these Terms, to comply with applicable law or other legal requirements and to maintain the integrity and reputation of the Service.  We reserve the right, but are not obligated, to remove or disable access to any User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any User Content to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Service.

8.  Sale of Products

The RideCo accepts orders for equipment, apparel or accessories that may be offered through The RideCo Site.  Unfortunately, availability of products cannot be guaranteed.  Please note that product, service and other information provided is subject to corrections and changes without notice. Graphics and diagrams are for illustrative purposes only and may not accurately reflect actual product availability. Colors, styles and other variants depicted are for illustration only and are subject to change. Errors will be corrected where discovered, and we reserve the right to revoke any stated offer and to correct any errors, inaccuracies or omissions.

Unless otherwise specified at the time of purchase, you must pay for products when you place the order. All products ordered will be delivered to the shipping address you provide. We reserve the right to cancel an order placed by you at any time and for any lawful reason prior to our delivery of the product(s) and receipt of payment in full from you, provided that we will refund any fees that you prepaid for those products if we cancel. We may send an acknowledgment of receipt of your order to the email address you provide and/or proof of purchase information through The RideCo Site or to your email address after your payment has been processed.  All retail purchases are final sale.  No returns or exchanges, except in the unlikely event you receive defective merchandise.

9.  Intellectual Property Rights

All information, materials, images, graphics, video, audio, software, photographs, articles, functions, text and other content contained, displayed or reflected on the Website or through any social media forum (collectively, “Content”) and all copyrights, trademarks, and other intellectual property rights in or relating to the Content, are the exclusive property of The RideCo, its licensors or content providers or other third parties.  

The RideCo name, trademarks, and trade dress and unless otherwise noted all other trademarks, service marks, trade names, and logos displayed on the Website and any social media forum, are the trademarks, service marks and/or trade names of The RideCo. You acknowledge that The RideCo and/or third party content providers remain the owners of all Website materials and that you do not acquire any of those ownership rights by downloading, copying, or using any such material in accordance with these Terms.  Unauthorized use of The RideCo name and mark, or any other trademark, service mark or trade name is strictly prohibited.

10.  Links/Third Party Websites

Links on the Website or through the Service may lead to websites, web pages and/or resources (“Third Party Sites”) provided and maintained by third parties over whom we have no control. We are not responsible for the content of or accessibility to such Third Party Sites, and you acknowledge and agree that we are not responsible for the content or accessibility to such Third Party Sites, and that it does not endorse any of the content, accuracy, quality, advertising, products or other materials on or available from such Third Party Sites.

11.  Disclaimers / Limitation of Liability

By using and accessing the Service, you represent that you have reviewed the Terms of Service and Privacy Policy. Further, the Service is made available to you “AS IS,” without express or implied warranties of any kind, including but not limited to warranties of merchantability or fitness for a particular purpose. We do not warrant or represent that access to the Service will be uninterrupted, that the Content will be free from error or that the Service or the servers on which the Service is hosted are free of viruses or other harmful components. We provide no express or implied assurances or warranties with respect to any goods or services advertised or otherwise depicted, or information provided, through the Service. The Service may contain various text, images, videos, audio recordings or other content created by third parties which may be explicit in nature. Due to the nature of electronic distribution and the volume of Content provided by third parties, there may be delays, omissions and inaccuracies in such content. Accordingly, such content is for your reference only and should not be relied upon by you for any purpose.

THE RIDE COMMUNITY SERVICE OFFERS HEALTH AND FITNESS INFORMATION AND IS DESIGNED FOR EDUCATIONAL AND ENTERTAINMENT PURPOSES ONLY. YOU SHOULD CONSULT YOUR PHYSICIAN OR GENERAL PRACTITIONER BEFORE BEGINNING A NEW FITNESS PROGRAM. YOU SHOULD NOT RELY ON THIS INFORMATION AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. IF YOU HAVE ANY CONCERNS OR QUESTIONS ABOUT YOUR HEALTH, YOU SHOULD ALWAYS CONSULT WITH A PHYSICIAN, GENERAL PRACTITIONER OR OTHER HEALTH-CARE PROFESSIONAL. DO NOT DISREGARD, AVOID OR DELAY OBTAINING MEDICAL OR HEALTH RELATED ADVICE FROM YOUR HEALTHCARE PROFESSIONAL BECAUSE OF SOMETHING YOU MAY HAVE READ ON THE RIDE COMMUNITY SITE OR HEARD ON THE RIDE COMMUNITY SERVICE. THE USE OF INFORMATION PROVIDED THROUGH THE RIDE COMMUNITY SERVICE IS SOLELY AT YOUR OWN RISK AND IS NOT MEDICAL OR HEALTHCARE ADVICE.

In becoming a user of The RideCo with the intent of using the Service, you affirm that either (A) all of the following statements are true: (i) no physician or general practitioner has ever informed you that you have a heart condition or that you should only do physical activities recommended by a physician or general practitioner; (ii) you have never felt chest pain when engaging in physical activity; (iii) you have not experienced chest pain when not engaged in physical activity at any time within the past month; (iv) you have never lost your balance because of dizziness and you have never lost consciousness; (v) you do not have a bone or joint problem that could be made worse by a change in your physical activity; (vi) your physician or general practitioner is not currently prescribing drugs for your blood pressure or heart condition; (vii) you do not have a history of high blood pressure, and no one in your immediate family has a history of high blood pressure or heart problems; and (viii) you do not know of any other reason you should not exercise; or (B) your physician or general practitioner has been specifically consulted by you and approved of your use of the Service.

If applicable, you further affirm that (a) you are not pregnant, breastfeeding or lactating; unless (b) your physician or general practitioner has been specifically consulted and approved your use of the Service.

We reserve the right to refuse or cancel your membership if we determine that you have certain medical conditions or that the representations set forth above are untrue in any respect.

12.  Privacy Policy, including the California Consumer Privacy Act

We are committed to protecting your privacy. This privacy policy outlines the type of information received and collected when you use the features on The RideCo website as well as some of the steps that are taken to safeguard the information. Please read this privacy policy before using this site or submitting your personal information. By using this site, you are accepting the practices described in this privacy policy.  We do not sell your information to anyone.  

For California Residents:

These additional disclosures for California residents apply only to individuals who reside in California. The California Consumer Privacy Act of 2018 (“CCPA”) provides additional rights to know, delete and opt out, and requires businesses collecting or disclosing personal information to provide notices and means to exercise rights.  

a.  Notice of Collection

Under the CCPA, "personal information" is any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular California resident or household.  

b.  Categories of Personal Information that We May Collect:

iii. Home / mobile telephone number

iv. Email address

v. Gender

vi. Height and weight

vii. Date of birth

viii. Credit, debit or other payment account number and related information

ix. Social media account ID

c.  Right to Know and Delete

California residents have the right to delete the personal information we have collected from you and the right know certain information about our data practices in the preceding 12 months. In particular, you have the right to request the following from us: 

The categories of personal information we have collected about you;

i. The categories of sources from which the personal information was collected;

ii. The categories of personal information about you we disclosed for a business purpose or sold;

iii. The categories of third parties to whom the personal information was disclosed for a business purpose or sold;

iv. The business or commercial purpose for collecting or selling the personal information; and

v. The specific pieces of personal information we have collected about you.

To exercise any of these rights, please submit a request by emailing theridecommunity@gmail.com. In the request, please specify which right you are seeking to exercise and the scope of the request. We will confirm receipt of your request within 10 business days. We may require specific account information from you to help us verify your identity and process your request. If we are unable to verify your identity, we may deny your requests to know or delete.

a. Right to Opt-Out

Although we do not sell or disseminate your personal information, you have the right to opt-out of the sale of your personal information by us to third parties at any time. You may submit a request to opt-out by emailing theridecommunity@gmail.com.

b. Authorized Agent

You can designate an authorized agent to submit requests on your behalf. However, we will require written proof of the agent’s permission to do so and will verify your identity directly. 

c. Right to Non-Discrimination

You have the right not to receive discriminatory treatment by us for the exercise of any your rights. 

13.  Indemnification of The Ride Community For Any Violation of Site Terms

You agree to indemnify and hold harmless The RideCo and its affiliates, and their respective members, directors, officers, managers, employees, shareholders, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation by you of these Site Terms or any breach by you of your representations and warranties hereunder. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this section. In such event, you shall provide us with such cooperation as is reasonably requested by us.

14.  Limitations

You agree that regardless of any statute or law to the contrary from any jurisdiction, any claim or cause of action arising out of or related to the Service or your use of the Service must be filed within one (1) year after such claim or cause of action arose, or such claim or cause of action is forever barred.

15.  Severability of Terms / Entire Agreement

If any provision of this Agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. The Site Terms represent the entire agreement between The RideCo and you relating to the subject matter contained herein.

16.  Term and Termination

This Agreement shall remain in full force and effect for so long as it is posted on any part of the Service, including the Website. You may terminate your membership, for any reason, by emailing theridecommunity@gmail.com. If you cancel your membership before the end of the applicable billing cycle, your account will be cancelled as of the following month.  Monthly membership payments will not be prorated or refunded.

The RideCo reserves the right to terminate your account or your access to the Service immediately, with or without notice to you, and without liability to you, if we believe that you have breached any of the terms of this Agreement, furnished The RideCo with false or misleading information, or interfered with use of the Service by others.

When you close or de-activate your account or if your account is otherwise terminated, we have the right, but not the obligation, to store your personal information, settings, saved and completed classes, and instructors you have followed. Unless we have exercised our right to terminate your account, you can re-activate your account at any time by contacting us.

17.  Choice of Law / Jurisdiction

The Site Terms, and any dispute concerning or relating to the Service or your use of the Service, shall be governed by the laws of the United States and the State of California, without regard to conflict of laws principles. You consent to personal jurisdiction and venue in the state and federal courts located in Orange County, California, and you shall not commence or prosecute any action except in the foregoing courts.

BY CONTINUING TO USE OUR SITE AND VIEWING/PARTICIPATING THE SERVICES, YOU AGREE TO ABIDE BY THESE TERMS OF SERVICE.
